Abstract
The aim of this research is to find out the effect of stock ownership structure and Good Corporate Governance implementation in managerial policy on determining corporate financing decision. Specifically, this research analyzes the influence of stock ownership structure by management and institution as well as the existence of Independent Commissioner Board to corporate policy on selecting financing source. Tfie sample of this research is the group of LQ-45 stock company listed in Indonesia Stock Exchange for the year 2009-2010. In order to test the relationship between independent and dependent variables, the Ordinary Least Square (OLS) analysis in multiple regression was used. The purposive sampling method was applied in data collection based on certain criteria in LQ-45 stock group listed in the stock eichange during the period. This research result shows that stock ownership structure consisting of managerial and institutional stock ownership do not influence the capital structure partially. The implementation of Good Corporate Governance by the proxy of Independent Commissioner Board positively influence the capital structure, in asumption of ceteris paribus. Overally, the managerial and institusional stock ownership, as well as the existence of Independent Commissioner Board influence the capital structure.
